By accessing www.customg.shop and engaging the services of CUSTOM GRINDERS SALES, INC., you agree to be bound by these Terms. If you do not agree, please do not use our Site or services.
"Services" refers to all consulting, advisory, design, and implementation services provided. "Client" or "you" means the individual or entity using our Site or Services. "Confidential Information" means non-public information disclosed by one party to the other. "Intellectual Property" means all proprietary rights. "Deliverables" means work products produced as part of the Services.
We provide professional technology consulting services including computer systems design, IT infrastructure consulting, cloud solutions, cybersecurity, data analytics, and digital transformation. Scope and fees will be defined in a separate Statement of Work (SOW).
Our intellectual property remains our exclusive property. Upon full payment, we grant you a non-exclusive, perpetual license to use Deliverables. You retain rights to materials you provide.
Fees are set forth in the applicable SOW. Invoices are due within 30 days. Late payments may incur a 1.5% monthly service charge.
Both parties agree to maintain confidentiality of all Confidential Information. Obligations survive termination for five years.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY SHALL BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. (B) OUR TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM.
Services and Site are provided "AS IS" without any warranties, express or implied.
You agree to indemnify us against claims arising from your use of our Site or Services in violation of these Terms.
Either party may terminate upon 30 days' written notice. Termination is immediate for material breach after 30 days' cure period.
These Terms are governed by the laws of the State of Ohio. Disputes shall be resolved through negotiation, mediation, and binding arbitration in Columbus, Ohio.
